Welcome to Cloudiers LLC. These Terms & Conditions (“Terms”) govern your use of our website, cloudiers.com (the “Site”), and the services we offer. Please read these Terms carefully before using our services.

By accessing our Site or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

1. Description of Services Cloudiers LLC (“we,” “our,” or “us”) provides a range of digital services, including but not limited to:

  • Domain Name Registration
  • SSL Certificates
  • Cloud Hosting
  • WordPress Development and Customization
  • Shopify Development and Customization

2. User Accounts To access certain services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and account credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept full responsibility for all activities that occur under your account.

3. User Obligations and Acceptable Use You agree not to use our services for any unlawful or prohibited purpose. You are solely responsible for any and all content you host on or create through our services. Prohibited activities include, but are not limited to:

  • Hosting or distributing content that is illegal, abusive, defamatory, or infringing on intellectual property rights.
  • Transmitting any unsolicited commercial email (spam).
  • Hosting or distributing malware, viruses, or any other malicious code.
  • Engaging in any activity that disrupts or interferes with our services or networks.
  • Violating the security of any network or attempting to gain unauthorized access to any system.

We reserve the right to suspend or terminate any account found to be in violation of these acceptable use policies without notice.

4. Service-Specific Terms

  • A. Domain Name Registration: All domain registrations are subject to the rules and policies of the Internet Corporation for Assigned Names and Numbers (ICANN) and the relevant domain registry. You are responsible for providing accurate WHOIS information and for renewing your domain name before its expiration date. Domain name registration fees are non-refundable.
  • B. Cloud Hosting Services: You are responsible for the content and management of your hosted account. While we perform regular backups, you are ultimately responsible for maintaining your own backups of your website content. We will use commercially reasonable efforts to ensure service uptime but do not guarantee 100% uptime.
  • C. Development Services (WordPress & Shopify): All development projects will be defined by a scope of work document or agreement. The client is responsible for providing necessary materials (content, images, etc.) in a timely manner. Delays caused by the client may result in an adjustment to the project timeline and cost.

5. Payments, Billing, and Refunds

  • Payments: You agree to pay all fees for services in accordance with the pricing and payment terms presented to you for that service. All payments are due in U.S. Dollars.
  • Billing: Hosting and domain services are billed on a recurring basis (e.g., monthly, annually). You authorize us to charge your chosen payment method for these recurring fees.
  • Refund Policy: Our refund policy is as follows:
    • Cloud Hosting: We offer a 30-day money-back guarantee for new hosting accounts.
    • Domain Names: Domain registration and renewal fees are non-refundable once the domain has been registered or renewed.
    • SSL Certificates: SSL certificate fees are non-refundable once issued.
    • Development Services: Fees for development services are non-refundable once work has commenced.

6. Intellectual Property All content on our Site, including text, graphics, logos, and software, is the property of Cloudiers LLC or its content suppliers and is protected by international copyright laws. You retain ownership of all content you create or host on our services. For development services, the client will own the intellectual property rights to the final work product upon full and final payment.

7. Termination We may terminate or suspend your account and access to the services immediately, without prior notice or liability, for any reason, including if you breach these Terms. You may cancel your account at any time through your account dashboard or by contacting support. Upon termination, your right to use the services will cease, and we may delete your data from our servers.

8. Disclaimer of Warranties The services are provided on an “AS IS” and “AS AVAILABLE” basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability To the fullest extent permitted by law, Cloudiers LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of our services.

10. Indemnification You agree to defend, indemnify, and hold harmless Cloudiers LLC and its employees, directors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from your use of the services or your violation of these Terms.

11. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California.

12. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on the Site. Your continued use of the service after any such changes constitutes your acceptance of the new Terms.
